Company account reviews: proving the business is real, in the file banks expect

Current to 26 August 2026 · updates land in the changelog.

Company reviews ask a blunter question than personal ones: is this a real business? The file that answers it has five parts, and one document leads them all.

Audited financials: the lead item

The single most-demanded document for company accounts is the audited financial statement. A company that has never audited because it "didn't need to" meets its first hard consequence here — and while genuine management accounts beat nothing, the audit is the artifact reviewers weight. If your audit is in progress, say so with the engagement letter attached; if overdue, the review letter just became the reason to fix it.

The ownership chain, to natural persons

Identity and ownership means the full chain: directors' and beneficial owners' ID, an organisation chart resolving to natural persons, Articles of Association, BR, and the latest NAR1 (周年申報表) — consistent with each other. Layered holdings and nominee arrangements aren't disqualifying, but every layer must be documented; the chart that stops at a holding company reads as concealment whether or not it is.

Substance, counterparties, and declared purpose

The season, and the standard

Intermediaries have been re-verifying client documentation since the SFC's 22 May 2026 circular — applied on a risk-based, on-request basis, not as a blanket mandate, but the direction is clear and banks move with it. The standard throughout is the same as every guide in this cluster: genuine records, complete on first submission, gaps explained rather than dressed. The respond-once protocol applies with extra force when the file is this large.

Quick answers

What is the most important document in a Hong Kong company account review?
Audited financial statements — the single most-demanded item for company accounts. In-progress audits should be evidenced with the engagement letter; management accounts are the genuine fallback, not a substitute.
Do I have to disclose the full ownership chain?
Yes — to the natural persons. Every layer of a holding structure needs documents; a chart stopping at an intermediate company reads as concealment regardless of intent.
Answer the bank once — completely.

General information and document templates only — not legal advice. Organise genuine records only: never alter, backdate or fabricate a document — regulators apply zero tolerance and an honest gap explained is survivable where a fabricated paper is not. Anything involving police, the JFIU, a Letter of No Consent, restraint orders, personal suspicion or a sanctions nexus belongs with counsel, not templates.
